Important: Read carefully before installing or using this software.

This Commercial License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity, “Licensee”) and WolfPaw Hosting and Development LLC (“Licensor”) for the WolfPaw Antifraud extension software, including any associated documentation (“Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.

1. Grant of License

Licensor grants Licensee a non-exclusive, non-transferable, limited license to install and use the Software on ONE (1) production Magento/Adobe Commerce installation owned or operated by Licensee.

Additional installations (staging, development) for the same store are permitted at no additional charge, provided they are not used for production commerce.

2. Restrictions

Licensee shall NOT:

  1. Redistribute, sublicense, rent, lease, or lend the Software to any third party;
  2. Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law;
  3. Remove or alter any proprietary notices, labels, or marks on the Software;
  4. Use the Software on more than one production installation without purchasing additional licenses;
  5. Share, publish, or otherwise make available the Software source code to any third party.

3. Ownership

The Software is protected by copyright laws. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein.

4. Third-Party Services

The Software integrates with MaxMind minFraud services. Licensee is responsible for obtaining and maintaining their own MaxMind account and complying with MaxMind’s terms of service. Licensor is not affiliated with MaxMind and makes no warranties regarding MaxMind services.

5. Support and Updates

The license includes access to Software updates and technical support for the period specified at the time of purchase. Continued access to updates and support beyond the initial period may require renewal.

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

7. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DATA USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.

LICENSOR’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE LICENSE.

8. Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement if Licensee fails to comply with any term herein. Upon termination, Licensee must destroy all copies of the Software.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of laws provisions.
